Terms of Service

These Terms of Service ("Terms") govern your access to and use of Punchr (the "Service"), provided by Clandestino Pty Ltd (ACN registered in Australia), trading as "Punchr" ("we", "us", "our"). By using the Service, you are contracting with Clandestino Pty Ltd and you agree to these Terms.
1. Accounts
You must provide accurate information when creating an account, keep your credentials secure, and are responsible for activity under your account. The Service is intended for use by businesses and their employees; you must be authorised by your employer to use the Service on their behalf.
2. Acceptable use
You agree not to misuse the Service, including: attempting to gain unauthorised access, interfering with the Service, reverse engineering, scraping, or using the Service to violate any law or the rights of others.
3. Integrations
The Service connects with third-party systems including Square and Xero. Your use of those systems remains subject to their own terms. We are not responsible for the availability or accuracy of third-party services, but we do our best to keep the integrations healthy and surfaces errors when they occur.
4. Billing
Paid plans are billed on a recurring basis until cancelled. Pricing is shown on punchr.ai.
New organisations receive a 30-day free trial. A payment method is collected when the trial starts, but no charge is made until the trial ends. Cancel before the trial ends and you will not be charged; otherwise the subscription begins automatically at the rate shown at sign-up, based on your active user count.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, invoicing, cancellation and refund mechanics are governed by Paddle's Buyer Terms.

5. Your content
You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and improve the Service and to operate the integrations you authorise.
6. Termination
You or your employer's organisation may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if your use poses a risk to the Service or other users.
7. Disclaimers
The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or that payroll or scheduling outputs will be free from mistakes. You are responsible for reviewing draft pay runs and rosters before relying on them.
8. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of the Service is limited to the fees you paid to us in the 12 months before the claim.
9. Changes
We may update these Terms from time to time. Material changes will be announced in the product or by email. Continued use of the Service after changes take effect constitutes acceptance.
